Welcome to UPITranzact! These terms and conditions outline the rules and regulations for the use of UPITranzact's Website and Platform, located at upitranzact.com. By accessing this platform we assume you accept these terms and conditions. Do not continue to use UPITranzact if you do not agree to take all of the terms and conditions stated on this page.

01Agreement to Terms

By accessing or using our Services, you agree to be bound by these Terms and Conditions and all terms incorporated by reference. This agreement constitutes a legally binding contract between you (the "User") and Speedx Innovations Private Limited. If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these terms.

02Definitions

Intellectual Property

All patents, copyrights, trademarks, trade secrets, and proprietary code including the look and feel of the platform.

Services

Digitally enabled online payment checkout services, UPI-based transaction processing, APIs, and dashboard tools.

User Data

Personal information, transaction logs, identity proofs (KYC), and bank details provided by the user.

Platform

The UPITranzact website, mobile applications, and payment processing infrastructure.

Merchant

Any individual or business entity using UPITranzact to accept payments from customers.

Settlement

The process of transferring funds accumulated from customer transactions to the Merchant's bank account.

03Services & Scope

UPITranzact provides a comprehensive payment solution focusing on UPI (Unified Payments Interface) transactions. Our services include:

Automated UPI payment collection and verification.
Real-time transaction status updates and webhooks.
Unified dashboard for managing payments and payouts.
Compliance monitoring and fraud detection systems.
Integration support for various web and mobile platforms.
T+1 and Instant settlement cycles for eligible merchants.

04User Accounts & Registration

To use the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that provide false information or violate these terms.

05Payment, Fees & Settlement

UPITranzact charges fees for processing transactions as per the pricing plan selected by the merchant. All fees are exclusive of applicable taxes (GST), which will be charged additionally.

Settlement Cycles: Funds are usually settled within T+1 working days (Transaction day + 1 business day) unless otherwise specified.

Chargebacks: Merchants are solely responsible for chargebacks and disputes raised by their customers.

Rolling Reserve: We may maintain a rolling reserve of funds to cover potential risks and disputes.

06Refund & Cancellation Policy

Processing of refunds is the responsibility of the Merchant. UPITranzact provides the technical framework to initiate refunds, but the final decision and funding of the refund reside with the Merchant. Please refer to our separate Refund Policy for detailed information on timelines and procedures.

07Restrictions & Prohibited Conduct

No reverse-engineering of code or APIs.

No impersonation of other individuals or entities.

No use for illegal or prohibited gambling/betting.

No processing of payments for restricted items.

No attempt to circumvent security measures.

No use of the platform for money laundering.

No deceptive or fraudulent transactions.

No use for selling narcotics or banned substances.

08Intellectual Property

The Platform and its original content, features, and functionality are and will remain the exclusive property of Speedx Innovations Private Limited and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Speedx Innovations.

10Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

11Limitation of Liability

In no event shall Speedx Innovations Private Limited, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

14Governing Law

These Terms shall be governed and construed in accordance with the laws of Uttar Pradesh, India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
